Liquidator — Appointment & Powers
Sections 64–65 & LLP (Winding Up and Dissolution) Rules, 2012
Pillar 8 — Winding Up, Dissolution & Tribunal Jurisdiction (Sections 63–65)
Module Overview The liquidator is the central functionary in LLP winding up — responsible for collecting assets, paying creditors, and distributing surplus to partners. This topic covers the appointment process for all types of winding up, the liquidator's extensive powers, the provisional liquidator, the Official Liquidator, and the six-tier priority order for payment of creditors. |
65.1 Who Can Be Appointed as Liquidator
Winding-Up Type | Who Appoints | Eligible Persons |
Voluntary (LLP Act S.63) | Partners by ordinary resolution | Insolvency Professional; CA or advocate approved by NCLT |
Compulsory (LLP Act S.64) | NCLT | Official Liquidator (attached to NCLT) OR any approved person |
IBC Voluntary (S.59 IBC) | Partners by resolution | IBBI-registered Insolvency Professional — mandatory |
IBC CIRP Liquidation (S.33–54 IBC) | NCLT order | IBBI-registered Insolvency Professional — mandatory |
65.2 Provisional Liquidator
Between the filing of a winding-up petition and the passing of the winding-up order, the NCLT may appoint a Provisional Liquidator to take control of LLP assets. Key aspects:
- Appointed only if there is risk of asset dissipation or fraud.
- Same powers as final liquidator — subject to NCLT's directions or limitations.
- Automatically becomes final liquidator when winding-up order is passed (unless NCLT orders otherwise).
65.3 Powers of the Liquidator (LLP W&D Rules 2012)
Power Category | Specific Powers |
Asset realisation | Collect and take possession of all LLP property; sell assets by auction or private contract; recover debts due to LLP |
Legal proceedings | Bring or defend litigation; pursue claims against partners who owe money to LLP |
Investigation | Examine books of account; require document production; investigate LLP affairs |
Distribution | Pay creditors in priority order; distribute surplus to partners per LLP agreement/Schedule 1 |
Employee management | Pay employee wages and PF (preferential); terminate employment contracts |
NCLT reporting | Report to NCLT at intervals; seek sanction for significant actions |
Fraudulent conduct | Report Section 30 fraud to NCLT if discovered during winding up |
65.4 Priority Order for Payment — Six Tiers
Priority | Category | Notes |
1st | Winding-up costs and liquidator's fees | Paid first from available assets |
2nd | Preferential creditors | Employees' unpaid wages (up to prescribed limit); PF; government dues for limited period |
3rd | Secured creditors | Realise their security first; shortfall ranks as unsecured |
4th | Unsecured creditors (pari passu) | All ordinary trade creditors paid proportionally from remaining assets |
5th | Subordinated creditors | Loans from partners or other subordinated debt holders |
6th (Last) | Partners' capital and profit entitlements | Return of contribution and surplus per LLP agreement |
⚖ Official Liquidator v. XYZ LLP Partners NCLT Mumbai (2019) Held: The NCLT discovered that designated partners had transferred LLP assets to related parties after receiving the winding-up petition. The NCLT set aside these transfers as fraudulent and held the designated partners personally liable for the value of assets transferred under Section 30. Principle: The liquidator's duty includes detecting pre-winding-up asset dissipation — the NCLT has power to set aside fraudulent transfers and impose personal liability. |
